WEBSITE TERMS OF USE AND PUBLIC OFFER

These Website Terms of Use and Public Offer (hereinafter referred to as the “Terms”) govern the use of the website zidiaofficial.com and the purchase of products from the ZIDIA online store.

Before using the Website and placing an order, please carefully read these Terms, the Privacy Policy, the Exchange and Return Policy, and the Payment and Delivery Terms.

By placing an order on the Website, the Buyer confirms that they have read, understood and agreed to the current versions of these documents.

2. Key Terms

Website means the website of the ZIDIA online store available at zidiaofficial.com.

Seller means Individual Entrepreneur Y. V. Shevchenko, who sells products through the Website, accepts payments and fulfils obligations to Buyers.

User means any person who visits or uses the Website.

Buyer means a legally competent individual who places an order for personal purposes not directly related to business activities.

Recipient means the Buyer or another person designated by the Buyer to receive the order.

Product means any product described on the Website and available for ordering.

Order means a properly submitted request by the Buyer through the Website to purchase the selected Product.

3. General Provisions

3.1. These Terms constitute a public offer to enter into an electronic contract for the sale and purchase of Products under the conditions set out below.

3.2. The contract between the Seller and the Buyer is concluded electronically in accordance with the laws of Ukraine.

3.3. Placing an Order constitutes the Buyer’s offer to purchase the selected Product under the conditions stated on the Website at the time the Order is placed.

3.4. An automated notification confirming receipt of the Order confirms that the Order has been received by the system but does not, in itself, guarantee the availability of all ordered Products.

3.5. The Seller accepts the Order for fulfilment by confirming it, beginning its preparation or handing the Product over to the carrier, whichever occurs first.

3.6. If a Product is unavailable, has been assigned an incorrect price due to an obvious technical error, or the Order cannot be fulfilled for another objective reason, the Seller shall notify the Buyer and offer to:

  • replace the Product;

  • change the contents of the Order;

  • wait until the Product becomes available;

  • cancel the relevant item or the entire Order.

If the Product has already been paid for but the Order cannot be fulfilled, the Seller shall refund the amount paid for it.

3.7. Use of the Website does not waive or limit any rights granted to the Buyer under the laws of Ukraine.

4. Placing an Order

4.1. To place an Order, the Buyer:

  • selects a Product and an available variant;

  • adds the Product to the shopping cart;

  • provides contact and delivery information;

  • selects an available payment and delivery method;

  • checks the contents and total price of the Order;

  • confirms the Order.

4.2. The Buyer must provide complete, current and accurate information necessary to fulfil the Order.

4.3. If an error in the contact information or delivery address makes delivery impossible or results in additional costs, the Seller may agree with the Buyer on payment for repeat delivery.

4.4. The Buyer may designate another person as the Recipient. In this case, the Buyer confirms that they are authorised to provide the Seller with the Recipient’s contact details.

4.5. The Seller may contact the Buyer to confirm the Order or clarify the details, payment method or delivery method.

4.6. The Seller may cancel an Order if:

  • the Buyer has provided incomplete or inaccurate information;

  • the Buyer cannot be contacted when confirmation is necessary to fulfil the Order;

  • payment has not been successfully completed;

  • the Product is unavailable;

  • an obvious technical error in the price or description has been identified;

  • there are reasonable grounds to suspect fraud or unauthorised use of a payment method;

  • fulfilment of the Order has become impossible due to circumstances that the Seller could not reasonably foresee or prevent.

If a paid Order is cancelled, the amount paid shall be refunded to the Buyer.

5. Product Information

5.1. The main characteristics, ingredients, volume, shade, directions for use and other available information about a Product are stated on the Product page, its packaging or accompanying materials.

5.2. Before using a Product, the Buyer must read the information on its packaging, directions for use, warnings, ingredients and expiry date.

5.3. Product images are provided for informational purposes. The shade of a Product may differ slightly due to lighting during photography, screen settings, individual colour perception or characteristics of a particular production batch.

5.4. Minor changes made by the manufacturer to the packaging design, label design or contents that do not affect the main characteristics or quality of the Product shall not be considered Product non-conformity.

5.5. If a specific shade, packaging, production batch or other characteristic is particularly important to the Buyer, the Buyer is advised to clarify this information before placing an Order.

5.6. The results of using a cosmetic Product may depend on individual skin characteristics, the application method and compliance with the manufacturer’s recommendations. An individual reaction or failure to meet personal expectations does not automatically constitute evidence of a manufacturing defect.

5.7. Buyers with sensitive skin, a tendency towards allergic reactions or an individual intolerance to certain ingredients are advised to review the ingredients in advance and, where necessary, conduct a patch test on a small area of skin.

6. Prices

6.1. Prices on the Website are stated in Ukrainian hryvnias.

6.2. The applicable price is the price displayed on the Product page and in the shopping cart when the Order is placed, except in cases of an obvious technical error.

6.3. Once the Order has been accepted for fulfilment, the Seller shall not unilaterally change its agreed price.

6.4. Delivery costs may not be included in the Product price and are calculated separately according to the carrier’s rates or the conditions stated during checkout.

6.5. Discounts, promotional codes and other special offers apply in accordance with the conditions of the relevant promotion.

6.6. If an obviously incorrect price has been displayed on the Website due to a technical error, the Seller shall notify the Buyer before dispatching the Product. The Buyer may agree to the correct price or cancel the Order and receive a full refund of the amount paid.

7. Payment

7.1. Available payment methods are displayed during checkout or communicated to the Buyer after the Order is placed.

7.2. Payment for an Order may be made:

  • online through the MonoPay/monobank payment service connected to the Website;

  • by bank transfer using the Seller’s bank details;

  • by another available method agreed between the Seller and the Buyer.

7.3. If the Buyer does not complete the online payment after placing the Order, the Seller may contact the Buyer and provide bank details for making a bank transfer.

7.4. When paying by bank transfer, the Buyer must correctly state the payment reference or Order number if such information has been provided by the Seller.

7.5. An Order is considered paid once the funds have been credited to the Seller’s account or confirmation of successful payment has been received from the bank or payment service.

7.6. The creation of an Order in the Shopify system without successful completion of payment does not mean that the Order has been paid.

7.7. Until payment is received, the Seller may refrain from preparing the Order and may not reserve the Product unless otherwise separately agreed with the Buyer.

7.8. If payment is not received within the period communicated to the Buyer, the Seller may cancel the unpaid Order.

7.9. If the Buyer has made payment but a particular Product is unavailable or the Order cannot be fulfilled, the Seller shall offer a replacement, a change to the contents of the Order or a refund.

7.10. The Seller does not receive or store complete bank card details. Such information is processed by the relevant bank or payment service.

7.11. Fees charged by a bank, payment service or the Buyer’s bank may be payable by the Buyer in accordance with the rates of the relevant institution. The Seller shall inform the Buyer of the exact Order amount that must be paid.

8. Delivery

8.1. Orders may be delivered:

  • by Nova Poshta within Ukraine;

  • by Ukrposhta within Ukraine and internationally;

  • by other carriers available during checkout or agreed with the Buyer.

8.2. Available delivery methods depend on the country, locality, Product characteristics and current restrictions imposed by the relevant carrier.

8.3. Delivery costs may not be included in the Product price and are calculated separately according to the carrier’s rates.

8.4. Estimated delivery times depend on the carrier, destination country and location, the time when the Order was placed and paid for, customs procedures and other circumstances that may be beyond the Seller’s control.

8.5. For international shipments, the Buyer must provide the Recipient’s full name in Latin characters, a current telephone number, address, postal code, country and any other information required for delivery and customs clearance.

8.6. The Buyer is responsible for the accuracy and completeness of the information provided for international delivery.

8.7. Customs duties, taxes, fees and customs clearance charges in the Recipient’s country are not included in the Product or delivery price unless expressly stated otherwise during checkout. Such charges are payable by the Recipient in accordance with the laws of the destination country.

8.8. The Buyer is responsible for verifying whether the ordered Products may be imported into the destination country. The Seller may refuse to dispatch a Product if its international shipment is prohibited by law or by the carrier’s rules.

8.9. After the Order has been handed over to the carrier, the Buyer may be provided with a tracking number.

8.10. The Seller is not responsible for delays caused by the carrier, customs clearance, inspections, air-raid alerts, hostilities, power outages, transport restrictions or other circumstances beyond the Seller’s reasonable control. This does not release the Seller from the obligation to assist in determining the status of the shipment.

8.11. When receiving an Order, the Buyer is advised to check:

  • the integrity of the shipping packaging;

  • the absence of visible damage;

  • whether the correct number of Products has been received;

  • whether the Order is complete.

If the shipping packaging is damaged or any items are missing, the Buyer is advised to document this together with a representative of the carrier.

8.12. Acceptance of the shipment does not deprive the Buyer of the right to submit a claim concerning a hidden manufacturing defect that could not have been identified during an ordinary inspection.

8.13. If the Buyer does not collect the shipment within the period established by the carrier, it may automatically be returned to the Seller. For Nova Poshta shipments, this period is five calendar days unless the Seller or carrier communicates a different period.

8.14. A returned Order may be dispatched again after agreement with the Buyer and may require advance payment of the repeat delivery costs.

8.15. If an international shipment is returned due to incorrect information, failure to collect the shipment, refusal by the Recipient, non-payment of customs charges or an import prohibition, the issue of repeat delivery or a refund shall be resolved after the Seller receives the Product and checks its condition. Actual delivery and return costs may be deducted where permitted by applicable law.

9. Order Cancellation

9.1. The Buyer may cancel an Order before it has been prepared and handed over to the carrier.

9.2. To cancel an Order, the Buyer must contact the Seller by telephone at +38 (099) 055-53-80 or by email at zidiaofficial@gmail.com and provide the Order number.

9.3. Once the Order has been prepared and dispatched, it cannot be cancelled as an undispatched Order. In this case, the rules governing receipt, exchange and return of Products shall apply.

9.4. If a paid but undispatched Order is cancelled, the amount paid shall be refunded using the same payment method or another method agreed with the Buyer.

10. Exchanges, Returns and Claims

10.1. Products may be exchanged and returned in accordance with the laws of Ukraine and the current Exchange and Return Policy published on the Website.

10.2. In accordance with the Law of Ukraine “On Consumer Rights Protection” and Resolution No. 172 of the Cabinet of Ministers of Ukraine dated 19 March 1994, perfumery and cosmetic products of proper quality are not eligible for exchange or return.

10.3. As an exception, the ZIDIA store allows a perfumery or cosmetic Product of proper quality to be returned within one calendar day of receipt, provided that:

  • the Product has not been opened or used;

  • the protective film, seal or original packaging has not been damaged;

  • the Product’s marketable condition, contents, labels and original markings have been preserved;

  • there are no signs of use, damage or contamination;

  • the purchase of the Product from the ZIDIA store can be confirmed.

10.4. Other Products of proper quality that are not included in the list of Products that cannot be exchanged or returned may be exchanged or returned within the periods and under the conditions established by Ukrainian law.

10.5. Claims regarding manufacturing defects, damage, incomplete contents or discrepancies in an Order shall be considered individually in accordance with the laws of Ukraine.

10.7. Do not send a Product back without prior approval from the Exchange and Returns Department.

10.8. The detailed procedure, inspection periods and refund periods are set out in the Exchange and Return Policy.

10.9. Nothing in these Terms limits the Buyer’s statutory rights concerning defective Products.

11. Promotions, Promotional Codes and Gifts

11.1. The conditions of promotions, discounts, promotional codes and gifts are published on the Website or in advertising materials.

11.2. Unless expressly stated otherwise in the conditions of a particular promotion:

  • discounts and promotional codes cannot be combined;

  • one promotional code may be used once for one Order;

  • promotional codes cannot be exchanged for money;

  • a promotion remains valid for the stated period or while the relevant Products or gifts remain available.

11.3. The Seller may change or end a promotion in relation to future Orders. Such changes shall not affect Orders that have already been accepted for fulfilment.

11.4. If a gift was provided on the condition that the Order reached a particular value or included a particular Product, and the conditions of the promotion are no longer met after part of the Order is returned, the Buyer must also return the unused gift in its original packaging.

11.5. If the gift is not returned or has been opened or used, its stated value may be deducted when calculating the refund, provided that the Buyer was informed of the gift’s value and the relevant rule before placing the Order.

12. User Account

12.1. A User may create an account if this feature is available on the Website.

12.2. The User is responsible for maintaining the confidentiality of their login details and for all actions performed through their account.

12.3. If unauthorised access is suspected, the User must change their login details and notify the Seller.

12.4. The Seller may temporarily restrict or terminate access to an account in the event of a breach of these Terms, attempted fraud or the creation of a threat to the Website or other Users.

13. Personal Data

13.1. Personal data is processed in accordance with the Privacy Policy published on the Website.

13.2. By placing an Order, the Buyer provides the information necessary to conclude and perform the contract, process payment and arrange delivery.

13.3. Consent to receive marketing communications is provided separately and may be withdrawn at any time.

14. Intellectual Property

14.1. Text, photographs, videos, graphic materials, designs, logos, names, software elements and other materials available on the Website are protected by intellectual property laws.

14.2. Publication of materials on the Website does not transfer any intellectual property rights to the User.

14.3. Copying, reproducing, publishing, selling, modifying or commercially using Website materials without the permission of the relevant rights holder is prohibited, except where expressly permitted by law.

14.4. The User may use Website materials solely for personal, non-commercial viewing and purchasing purposes.

15. Website Use Rules

The User agrees not to:

  • interfere with the operation of the Website or attempt to gain unauthorised access to its systems;

  • use the Website for fraudulent or unlawful purposes;

  • upload malicious software;

  • automatically collect information from the Website without permission;

  • use another person’s personal or payment information without proper authorisation;

  • infringe the intellectual property rights of the Seller or any third party;

  • provide false or misleading information.

16. Liability

16.1. The Seller shall be liable in accordance with the laws of Ukraine.

16.2. The Seller shall not be liable for the inability to use the Website due to:

  • technical maintenance;

  • failures involving Shopify, banks, payment services, carriers or telecommunications providers;

  • interruptions to electricity supply or Internet access;

  • cyberattacks;

  • hostilities, air-raid alerts or other circumstances beyond the Seller’s reasonable control.

16.3. The Seller makes reasonable efforts to keep information current and maintain the stable operation of the Website but does not guarantee uninterrupted availability at all times.

16.4. The Seller is not responsible for the content or operation of third-party websites linked to from the Website.

16.5. The Buyer is responsible for the accuracy of the information provided and the lawful use of the selected payment method.

16.6. Nothing in these Terms excludes or limits the Seller’s liability where such exclusion or limitation is prohibited by law.

17. Force Majeure

17.1. The parties shall be released from liability for full or partial failure to perform their obligations if such failure results from extraordinary and unavoidable circumstances that the relevant party could neither foresee nor prevent.

17.2. Such circumstances may include hostilities, shelling, air-raid alerts, transport blockades, natural disasters, fires, prolonged power outages, cyberattacks, decisions of public authorities and other similar events.

17.3. A party affected by such circumstances must, where possible, notify the other party of the delay or inability to perform its obligations.

17.4. Force majeure does not release the Seller from the obligation to refund payment for a Product that has not been and cannot be supplied to the Buyer.

18. Amendments to the Terms

18.1. The Seller may update these Terms due to changes in legislation, Website functionality, payment or delivery methods, or its business activities.

18.2. A new version takes effect when it is published on the Website unless otherwise stated in that version.

18.3. An Order is governed by the version of the Terms in force when the Order is placed. Subsequent amendments shall not adversely affect the agreed conditions of an Order that has already been accepted for fulfilment.

19. Dispute Resolution

19.1. The parties shall attempt to resolve disputes and disagreements through negotiation and consideration of the Buyer’s written complaint.

19.4. If a dispute cannot be resolved through negotiation, it shall be resolved in accordance with the laws of Ukraine.

19.5. The Buyer also has the right to contact the competent consumer protection authority or a court.

20. Final Provisions

20.1. If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions.

20.2. The Seller’s failure to exercise any right shall not constitute a waiver of that right.

20.3. These Terms apply to the extent that they do not conflict with the mandatory provisions of Ukrainian law.
